Please read these Terms & Conditions carefully before using the ShowIQ platform. By creating an account or using our services, you agree to be bound by these terms.
1. Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the ShowIQ platform (“Service”), operated by Loek Productions (“ShowIQ”, “we”, “us”), a sole proprietorship registered in the Netherlands with Chamber of Commerce number 93894090.
These Terms constitute a legally binding agreement between you (“Client”, “you”) and ShowIQ. If you do not agree with any part of these Terms, you may not use the Service.
2. Description of the Service
ShowIQ is a professional, cloud-based event management platform designed for event organisers, production companies and related businesses. The Service includes, but is not limited to:
- Artist and crew management
- Accreditation and QR-code check-in
- Guest list management
- Personal briefing pages and rider management
- Multi-stage program building
- Third-party integrations (e.g. Weeztix ticketing)
ShowIQ reserves the right to modify, suspend or discontinue any part of the Service at any time, with reasonable prior notice wherever possible.
3. Eligibility
You must be at least 18 years of age to use ShowIQ. By using the Service, you confirm that you meet this requirement and that you have the legal capacity to enter into a binding contract.
ShowIQ is intended exclusively for business use. Consumer protection rules that apply solely to natural persons acting outside a professional or business capacity may not apply to you.
4. Account Registration and Security
To use ShowIQ you must create an account. You agree to provide accurate, complete and current information during registration and to keep this information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@showiq.nl if you suspect unauthorised access.
ShowIQ may suspend or terminate accounts that are used in breach of these Terms or applicable law.
5. Fees and Payment
ShowIQ charges on a per-event basis. The applicable fee for each event is confirmed at the time of purchase or as agreed in a separate order form or quote.
- Payment processing — all payments are processed securely by Stripe, Inc. By making a payment you also agree to Stripe's terms of service. ShowIQ does not store credit card or bank account details.
- Invoicing— invoices include Dutch VAT (BTW) where applicable. All amounts are stated exclusive of VAT unless indicated otherwise.
- Non-payment— if a payment fails or remains outstanding, ShowIQ may suspend access to the relevant event until payment is received.
- Refunds— fees are non-refundable unless otherwise agreed in writing. If an event is cancelled by ShowIQ for reasons beyond your control, we will arrange a fair remedy on a case-by-case basis.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Upload or distribute content that is defamatory, obscene, discriminatory, or infringes third-party intellectual property rights.
- Attempt to gain unauthorised access to ShowIQ systems or other users' data.
- Introduce malware, viruses or any code designed to disrupt, damage or gain unauthorised access to any system.
- Resell, sublicense or otherwise commercialise access to the Service without our prior written consent.
ShowIQ reserves the right to remove content or suspend accounts that violate these rules without prior notice.
7. Intellectual Property
ShowIQ and its licensors retain all intellectual property rights in the platform, including software, design, trademarks and documentation. Nothing in these Terms transfers any such rights to you.
You retain ownership of all data and content you upload to the platform (“Client Data”). You grant ShowIQ a limited licence to store, process and display Client Data solely to the extent necessary to provide the Service.
8. Data Processing
When you use ShowIQ you will process personal data of third parties (artists, crew, guests) on your behalf. You are the data controller for that data; ShowIQ acts as your data processor. Our handling of personal data is described in our Privacy Policy.
By using the Service you confirm that you have a legal basis to upload personal data of third parties and that you comply with applicable data protection law (including the GDPR) in your own use of the platform.
9. Disclaimer of Warranties
The Service is provided “as is” and “as available”. To the maximum extent permitted by Dutch law, ShowIQ makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose or uninterrupted availability.
We will use commercially reasonable efforts to maintain platform uptime but do not guarantee that the Service will be error-free or continuously available.
10. Limitation of Liability
To the fullest extent permitted by applicable law, ShowIQ's total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees you paid to ShowIQ in the twelve (12) months preceding the event giving rise to the claim.
ShowIQ shall not be liable for any indirect, incidental, consequential, punitive or special damages, including loss of profits, loss of data or business interruption, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded under Dutch law.
11. Indemnification
You agree to indemnify and hold harmless ShowIQ and its officers, employees and contractors from and against any claims, damages, losses and costs (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any rights of a third party.
12. Termination
Either party may terminate these Terms with 30 days' written notice. ShowIQ may terminate or suspend your account immediately if you materially breach these Terms or if required by law.
Upon termination, your access to the Service will cease. Your Client Data will be retained for the period described in our Privacy Policy and then securely deleted. You may request an export of your data before termination.
Sections 7 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification) and 13 (Governing Law) survive termination.
13. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will notify you by email or via a notice within the platform at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If you do not accept the updated Terms, you must stop using the Service and may request account deletion.
14. Governing Law and Disputes
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms shall be submitted exclusively to the competent court in Amsterdam, the Netherlands.
